- Limited Companies (LTDs) and Limited Liability Partnerships (LLPs) are obliged to keep Statutory Records.
- Statutory Records must be available for the public to inspect.
- A company will, normally, keep its records at its Registered Office. However, it is also permitted to keep its records at a SAIL (Single Alternative Inspection Location)
- A SAIL must be located in the same jurisdiction in which a company is registered i.e. England and Wales, Scotland or Northern Ireland
- A company is permitted to split the location of its records between a Registered Office and a SAIL
- A company’s records must be made available for inspection for a minimum of 2 hours per working day.
- Anyone wishing to inspect a company’s records must give notice of at least 2 working days.
- A Limited Liability Company choosing to use a SAIL must notify Companies House using form AD02. A Limited Liability Partnership must use LLAD02
- Forms AD03 and LLAD03 are used to advise Companies House of which of the Statutory Records a company will keep at its SAIL.
- Forms AD04 and LLAD04 are used to advise the Registrar of Companies of any relocation of records from the SAIL to the Registered Office.
